This position has the responsibility to provide and manage internal and external legal resources for complex transactions.  It supports the Senior Legal Director, Mergers and Acquisitions, Medtronic Corporate Development function and Global and Regional Business Units to timely and effectively structure, negotiate and complete Medtronic business acquisitions, divestitures, joint ventures, minority investments, fund investments and other complex transactions.  

A Day in the Life

Responsibilities may include the following and other duties may be assigned.

  • Provide advice to and partner with the transaction team throughout all stages of the transaction process.
  • Advise transaction team with respect to deal structuring considerations.
  • Manage legal due diligence efforts for deals and assure that key findings are known and addressed.
  • Manage antitrust approval process in connection with acquisitions.
  • Assure the negotiation and execution of top quality legal agreements governing Medtronic’s complex transactions.
  • Assure that deal timetables are met.
  • Mentor Corporate Development Associates in the mechanics of structuring and completing deals.
  • Perform duties in compliance with environmental, health and safety related site rules, policies or governmental regulations.
  • All other duties as assigned.
  • Travel requirement: Less than 10%

Must Have: Minimum Requirements

EDUCATION REQUIRED:  
  • JD
  • Licensed to Practice Law
YEARS OF EXPERIENCE:
  • 5+ years of legal experience
SPECIALIZED KNOWLEDGE REQUIRED:  
  • Experience drafting and negotiating complex agreements
  • Experience with M&A and minority investment transactions
Nice to Have
  • Understanding of financial statements and business projection
  • Ability to manage numerous complex projects in a fast-paced environment
  • Ability to effectively convey complex legal findings and advice to non-legal business partners
  • Working knowledge in diverse legal fields, including corporate, securities, SEC, contract, tax and antitrust law and exposure to related international law
