Principal Legal Counsel - US Commercial Contracting

Provide legal advice and transactional support within the newly formed US Commercial Contracting Organization (within the Americas) to a broad range of US business clients, and to coordinate the delivery of these transactional services with cross-functional and subject matter experts within Medtronic.  

This position reports to the Legal Director, US Commercial Contracting Organization (IT/Software and Data Analytics Team).

A Day in the Life


Responsibilities may include the following and other duties may be assigned.

  • Demonstrated ability and experience to draft, review, revise and negotiate commercial contracts including without limitation procurement of a broad variety of goods and services related to information technology (such as professional services, mobile app development, cloud/hosted, artificial intelligence, virtual reality, etc.), data analytics, Business Associate Agreements and related matters. 
  • Demonstrated ability and experience addressing issues related to data privacy and security—both US and OUS, structuring and negotiating master commercial agreements across a global matrixed organization, including coordination with Compliance, Regulatory, Quality, Federal Contracts and Trade Compliance.   
  • Ability to design and deliver training and educating programs for clients as well as Legal colleagues within the Contracting Organization.
  • Advise and counsel business clients on legal issues.
  • Identify and coordinate with external legal resources as required to provide high-quality legal services at reasonable costs.
  • Work collaboratively with other lawyers, paralegals and administrative staff to provide the legal support for the areas described above.
  • Collaborate with legal staff in multiple legal workstreams to develop and implement common approaches and templates.
  • Partner with various functional groups to manage risk and negotiate agreements.
  • Utilize and develop tools and processes to manage a high volume of contracts and a large and diverse stakeholder base.


Must Have: Minimum Requirements
  • Juris Doctor
  • Licensed to practice law
  • 5+ years Attorney experience

  • Strong academic credentials
  • Experience at a law firm and in-house
  • Experience negotiating information technology contracts 
  • Experience in drafting and negotiating complex contracts
  • Knowledgeable in privacy laws, including HIPAA
  • Analytical risk identification, evaluation, and management skills
  • Flexibility, adaptability, responsiveness and collegiality
  • Ability to perform in fast-paced environment
  • Ability to accelerate change
  • Excellent written and verbal communication skills
  • Ability to work on multiple projects, in diverse substantive areas, at the same time
